Pasākumi, kas ierobežo sabiedrību nodibinājumu brīvības ļaunprātīgu izmantošanu

Abstract

Bakalaura darbā tiek vērtēta nepieciešamība apkarot sabiedrību nodibinājumu tiesību ļaunprātīgu izmantošanu, analizēta attaisnoto ierobežojumu koncepcija un pievērsta uzmanība plašākam par attaisnoto ierobežojumu ierobežojošo pasākumu lokam. Autors norāda uz šo pasākumu īpatnībām saistībā ar „Delavēras efekta” risku Eiropas Savienībā. Autors pievērš uzmanību Eiropas Sabiedrības regulējumam un piedāvā pārņemt samērīgu ziņojuma prasību no tās, kura atvieglotu Dalībvalstu pierādīšanas pienākumu tiesību ļaunprātīgas izmantošanas gadījumos, kas šobrīd ir komplicēts process. Darbā tiek plaši analizēta Eiropas Savienības Tiesas prakse, nekonsekvences dažu terminu lietošanā un to iespējamie labojumi, kā arī tiesību ļaunprātīgas izmantošanas aizlieguma principa piemērošanas tendences nodibinājumu brīvības kontekstā.

The necessity to combat abuse of freedom of establishment by companies and firms and means of achieving it are analyzed and evaluated in the Bachelor thesis. The author points to the relation of the nature of these events to the risk of “Delaware effect” in the European Union. The author proposes to take a reasonable action report from European Company regulation, which would ease the procedure of proving cases of abuse of freedom in the Member States, which is a far more complicated process as it is. The jurisprudence of the European Court of Justice is widely analyzed in the thesis, such as unconventional use of some terms and proposals on possible improvements, as well as the tendencies of use of the principle of prohibition of abuse of rights in the context of freedom of establishment.
