This paper is about the contracts which are concluded between the enterprise and its board members, to regulate management of enterprise. Most common kinds of the contracts that are considered to fit these relationships are the employment contract, the enterprise contract and the contract of authorization.
Contract of authorization is not suitable to regulate relationships between the enterprise and its board member, because it can regulate only function of representation.
The enterprise contract is only partly applicable to the board members functions because it is directed on achieving some specific ends, whereas the board member must work in many directions and his main aim is to lead the company.
The most suitable contract for these relationships is the employment contract.
