Maģistra darba nosaukums ir „Eiropas komercsabiedrības un to darbību tiesiskie aspekti” un tā mērķis ir analizēt Eiropas komercsabiedrību, jeb dēvētu arī par SE, kas ir abreviatūra no latīņu vārdiem Societas Europaea, juridiskos aspektus.
Darbs sastāv no sešām paplašinātām nodaļām, kurās ir apskatīti tādi jautājumi, kā SE būtība un vispārīgais tiesiskais raksturojums, dibināšana un reģistrēšana, SE juridiskā adrese un tās pārcelšana no vienas dalībvalsts uz otru, SE pārvaldes sistēmas un specifiskie darbinieku iesaistīšanas noteikumi, piemērojamie nodokļu nosacījumi, kā arī ir apskatīta SE kā korporatīvās formas līdzšinējā prakse un iespējamās nākotnes perspektīvas.
Visi jautājumi ir apskatīti arī kontekstā ar dalībvalstu nacionālajām norām, tai skaitā arī Latvijas tiesību normām. Tāpat nozīme darbā ir pievērsta Eiropas Kopienu tiesas aktuālākās judikatūras analīzei kontekstā ar SE normām.
Darbā ir mēģināts rast izskaidrojumu, kādi ir iemesli tam, ka SE kā juridiska forma, ar unikālām pārrobežu īpašībām, līdz šim ir izmantota tik reti, kā arī ir sniegti konkrēti priekšlikumi par izmaiņām SE regulējošajās tiesību normās. The title of the Master’s thesis is “Legal Aspects of a European Company and its activities”; the thesis aims to analyse the legal aspects of the European Company, also called SE, which is an abbreviation of the Latin Societas Europaea.
The thesis consists of six extended chapters that study such issues as the essence and general legal characterisation of the SE, its establishment and registration, the SE’s registered office and its transfer from one Member State to another, SE management systems and specific rules of recruitment and applicable tax regulations. The thesis also analyses the former practice and the possible future perspectives of the SE as a corporative form.
All issues are also addressed in the context of the national legal standards of other countries, including the regulatory standards of Latvia. The thesis also includes an analysis of the most topical judicatures of the European Court of Justice in the context of SE norms.
The thesis tries to establish the reasons why the SE, as a legal standard with unique cross-border qualities, has been applied so rarely up to now, additionally providing specific suggestions on amendments to the SE regulatory legal standards.
