Abstract
Pēdējo gadu laikā, ņemot vērā būtiskās izmaiņas likumdošanā, kas paredz stingrāku valdes locekļu atbildības regulējumu, sabiedrībā aktuāls ir kļuvis jautājums par valdes locekļu atbildību. Lai gan likums nosaka, ka kapitālsabiedrība par savām saistībām atbild ar savu mantu, nošķirtais atbildības princips (korporatīvais plīvurs) neatbrīvo valdes locekli, kurš rīkojies prettiesiski, no pienākuma atlīdzināt zaudējumus. Lai gan likums nosaka, ka valdes loceklim ir jārīkojas kā krietnam un rūpīgam saimniekam, šī ģenerālklauzula rada nevienādu viedokli sabiedrībā, kā arī judikatūrā, līdz ar to nepieciešams noskaidrot, kādiem būtu jābūt atbildības noteikšanas priekšnosacījumiem, lai pierādītu, ka valdes loceklis rīkojies prettiesiski.
 
Recently, there have been amended a number of laws, as well as the adoption of new laws relating to the responsibility of board members of companies. Amendments have been made in the laws as "On Taxes and Duties" and Insolvency Law and the adoption of a new Public person shares and company Management Law. There are situations where the member of the board are less than in the Articles of Association mentioned. In this case, the existing board members can manage and represent the company in squad? By which time the Board of company do not have legal representation rights. The company is liable for its obligations only with their property, but the principle of responsibility (corporate veil) does not relieve the board members from the obligation to pay damages for corporation and third parties in situations, when board member is acted illegally. Actual is question about preconditions for liability of Board member’s to say sure, that he or she is liable for the losses, caused to Company. In these master thesis will be explored and described the cases in which situations the Board members are responsible for company’s losses and damages to the company and third parties and which are the basic principles, which need to be approved before Company or third party bring an action in the Court against the Board Member.
