Maģistra darba tēma ir „Reiderisma īstenošanas metodes Latvijā, iespējamie risinājumi reiderisma novēršanā”, un tā mērķis ir apzināt galvenos iemeslus, kādēļ reiderisms Latvijā ir iespējams, kā arī piedāvāt risinājumus identificētajām problēmām. Tā kā šī maģistra darba uzdevums nav reiderisma definēšana tiesību normu ietvarā, reiderisma jēdziens ir aplūkojams autonomi, atbilstoši piedāvātajam jēdziena saturam. Lai sasniegtu maģistra darba mērķi, šajā darbā tiks aplūkots reiderisma jēdziena saturs, identificētas problēmas Latvijas Republikas Uzņēmumu reģistra praksē, analizēta vispārējās jurisdikcijas tiesas loma strīdu risināšanā, kā arī aplūkoti vairāki konkrēti tiesvedības procesi, kuros uzskatāmi tiek atklātas nozīmīgākās problēmas tiesību normu piemērošanā. Maģistra darbā tiek atlāts reiderisma jēdziena plašais saturs un problēmatika šādas juridiski precīzi nedefinējamas rīcības novēršanā kontinentālās Eiropas tiesību sistēmā. Risinājumi tiek meklēti gan pašā Latvijas tiesību sistēmā, gan piedāvāti anglosakšu tiesību sistēmas risinājumi atsevišķām ar reiderismu saistītām problēmām. The subject of this thesis is „Hostile Takeovers in Latvia and their possible prevention”. The main objective of the thesis is to identify the reasons why hostile takeovers in Latvia are possible and to propose possible solutions for their prevention. This thesis does not provide a specific legal definition of the concept of the hostile takeover, which is to be looked at as an autonomus concept within this thesis, as defined by the Author. To meet the objective of this thesis, the Author will explore the scope of the concept "hostile takover”, identify problems in Register of Enterprises of The Republic of Latvia, analyse the role of the Court of General Jurisdiction in dispute resolution between merchants and address some of the issues that have arisen in particular civil cases that highlight issues in civil proceedings. This thesis examines the broad concept of the term "hostile takeover” with particular regard to the challenge imposed on the civil law and legal institutions which must be capable of recognising the peculiar difficulties that arise when such a vaguely defined and understood practice requires legal scrutiny and regulation. Solutions are sought mainly within the Latvian legal system whilst some additional solutions proposed are based on Common law practices.
