Kapitālsabiedrību pārvaldes institūciju lēmumu pieņemšana ārpus sabiedrības juridiskās adreses administratīvās teritorijas

Abstract

Pētījuma ietvaros tiek veikta izpēte par kapitālsabiedrību pārvaldes institūciju lēmumu pieņemšanu ārpus šo sabiedrību juridiskās adreses administratīvās teritorijas, it īpaši gadījumos, ja pārvaldes institūcijas subjekts piedalās sapulcē vai sēdē ar elektronisko saziņas līdzekļu starpniecību. Pētījuma ietvaros tiek analizēta arī juridiskās adreses izpratne Latvijas Republikas tiesību sistēmā un tās regulējuma ietekme uz kapitālsabiedrību pārvaldes institūciju sapulču un sēžu organizēšanu. Darba mērķis ir analizēt gadījumus, kad kapitālsabiedrības pārvaldes institūcijas pārstāvis piedalās sapulcē vai sēdē attālināti, kā arī izprast kapitālsabiedrības juridiskās adreses ietekmi uz šo procesu, un sniegt priekšlikumus nepieciešamo izmaiņu īstenošanai Latvijas tiesību sistēmā. Darbā tika izmantotas vairākas zinātniski pētnieciskās metodes – vēsturiskā, analītiskā, salīdzinošā un gramatiskā. Darba rezultāts ir pētījums par kapitālsabiedrību pārvaldes institūciju tiesībām pieņemt lēmumus ārpus sabiedrību juridiskās adreses administratīvās teritorijas un par juridiskās adreses izpratni, kura ietvaros tiek sniegti vairāki priekšlikumi par nepieciešamajām izmaiņām normatīvajos aktos un tiesību normu interpretācijas procesā.

The Master’s thesis is devoted to the research on the decision-making of the administrative institutions of capital companies outside the administrative territory of a company’s registered address, especially in cases, if the subject of an administrative institution participates in a meeting by electronic means. In the course of the research, the conception of registered address within the legal framework of the Republic of Latvia and its regulation impact on the organisation of the meetings of capital companies’ administrative institutions have been analysed. The aim of the thesis is to analyse the cases when the representative of a capital company’s administrative institution participates in a meeting remotely, as well as to understand the impact of registered address on this procedure, and to provide to make proposals on the implementation of necessary amendments in the legal framework of the Republic of Latvia. Numerous research methods – historical, analytical, comparative and grammatical – were used in the thesis. The result of the Master’s thesis is a research on the rights of the capital companies’ administrative bodies to adopt decisions outside the administrative territory of a company’s registered address and on the concept of registered address, within this thesis the author has presented numerous proposals on necessary amendments in regulatory enactments and in the process of the interpretation of the rule of law.
