Promocijas darbs ir zinātnisks pētījums „Franšīzes tiesiskais regulējums
ārvalstīs un Latvijā”, kurā detalizēti un sistēmiski analizētas franšīzes tiesiskā
regulējuma īpatnības un attīstības tendences pasaules valstīs, kā arī franšīzes līguma
juridiskās kvalifikācijas un satura jautājumi romāĦu-ăermāĦu tiesību sistēmas
izpratnē.
Pētījuma teorētiskais pamats ir vispāratzītu tiesību zinātnes speciālistu
zinātniskie darbi, praktiėu raksti, kā arī Starptautisko privāttiesību institūta, Pasaules
Intelektuālā īpašuma organizācijas un Eiropas Savienības publikācijas franšīzes
tiesību jautājumos.
Metodoloăiskais pamats izveidots pēc padziĜinātas zinātnisko avotu analīzes
un praksē aktuālo problēmjautājumu apkopošanas.
Promocijas darbam ir izvirzīti šādi pamatmērėi:
1) noskaidrot franšīzes būtību;
2) piedāvāt franšīzes definīciju;
3) izpētīt un salīdzināt franšīzes tiesiskā regulējuma pamatprincipus un praktisko
pielietojumu dažādās valstīs un starptautiskajos tiesību instrumentos;
4) izpētīt franšīzes līguma regulējuma modernizācijas procesus un virzienus
Eiropas Savienības kontekstā;
5) analizēt biznesa formāta franšīzes līgumu kopsakarā ar līdzīga rakstura
līgumiem kā sui generis līgumu;
6) noteikt franšīzes līguma kvalifikāciju un saturu romāĦu-ăermāĦu tiesību
sistēmas izpratnē;
7) sagatavot normatīvā akta projektu franšīzes līgumtiesiskajam regulējumam
Latvijā.
Promocijas darba teorētiskā nozīme izpaužas franšīzes līguma jēdziena izpratnes
problemātikas apzināšanā un tā pielietošanas teorētiskā analīzē, kā rezultātā radušās
jaunas teorētiskās atziĦas un ir piedāvāts franšīzes līguma regulējums Latvijas
Republikas tiesību aktos.
Teorētiskās analīzes ceĜā darbā ir izteikti vairāki priekšlikumi franšīzes līguma
iespējamam regulējumam Komerclikumā, kā arī ir sagatavoti un iesniegti Saeimā
Komerclikuma grozījumi franšīzes līguma sakarā. This doctoral thesis is a scientific study “Legal Regulation of Franchise in
Latvia and Abroad” which analyses in detailed and systematic manner peculiarities
and trends of development of legal franchise regulation in the countries of the world,
as well as issues of legal qualification and content of the franchise agreement in the
context of Romanic-Germanic system of law.
The theoretical basis of the study is scientific works of renowned experts of
law, articles by practitioners, as well as publications regarding franchise law issues by
the International Institute for the Unification of Private Law, World Intellectual
Property Organisation and the European Union.
The methodological base is established after in-depth analysis of scientific
sources and survey of the most topical practical problem issues.
The following key objectives have been set forth for the doctoral thesis:
1) to elucidate the essence of franchise;
2) to offer the definition of franchise;
3) to study and compare basic principles of legal franchise regulation and practical
application in various countries and international legal instruments;
4) to study the modernisation processes and directions of the regulation for the
franchise agreement in the context of the European Union;
5) to analyse the business format franchise agreement in connection with
agreements of similar nature as a sui generis agreement;
6) to establish the qualification and content of the franchise agreement in the
understanding of the system of Romanic-Germanic law;
7) to draw a draft legislative act for contractual and legal franchise regulation in
Latvia.
The theoretical importance of the doctoral thesis is revealed through the study of the
problems related to the meaning of the franchise agreement and theoretical analysis of
its application, as a result of which new theoretical findings have been generated and
regulation of the franchise agreement by the laws and regulations of the Republic of
Latvia has been offered.
Through its theoretical analysis the thesis sets forth several recommendations for the
possible regulation of the franchise agreement in the Commercial Law, as well as
amendments to the Commercial Law related to the franchise agreement have been
developed and submitted to the Saeima (the Parliament).
