Reorganizācijas procesa novērtējums AS CITADELE.

Abstract

Bakalaura darba tēma ir “Reorganizācijas procesa novērtējums A/S Citadele”. Bakalaura darba mērķis ir ir novērtēt un identificēt AS Citadele banku apvienošanas procesa problemātiku, izdarīt secinājumus un sniegt priekšlikumus procesa efektivitātes uzlabošanai. Darba saturs ir sadalīts trīs daļās. Pirmajā daļā tiek pētīti, analizēti un salīdzināti Apvienošanas un pārņemšanas procesu teorētiskie aspekti, pasaules un Latvijas reorganizācijas procesa tendences. Tiek analizēti Apvienošanas un pārņemšanas darījumu veidi, mērķi un riski, kas saistīti ar šiem procesiem. Darba otrajā daļā tiek apskatītas SIA UniCredit Leasing un AS Citadele uzņēmumu vēsturiski aspekti, dibināšanas iemesli un process, kā arī uzņēmumu organizācijas un vadības procesa raksturojums. Tiek skatīti arī abu uzņēmumu finanšu rādītāji, mērķi, ko tie vēlas iegūt no šī Apvienošanas darījuma. Trešajā praktiskajā daļā – tiek analizēts SIA UniCredit Leasing un AS Citadele uzņēmumu Apvienošanas process, procesa problemātika, analizēta intervija ar AS Citadele menedžeru un SIA UniCredit Leasing darbinieku par to, kā bija organizēts process pirms un pēc apvienošanas. The main theme of the bachelor's thesis is Evaluation of the reorganization process JSC Citadele. The aim of the bachelor's thesis is to assess and identify the problems of the JSC Citadele bank merger process, draw conclusions and provide proposals for improving the efficiency of the process. The content of the work is divided into three parts. In the first part, the theoretical aspects of merger and acquisition processes, global and Latvian reorganization processes are studied, analyzed and compared. The types, purposes and risks associated with mergers and acquisitions are analyzed. The second part of the dissertation deals with the historical aspects of SIA UniCredit Leasing and JSC Citadele companies, the reasons and process of establishment, as well as the description of the company organization and management process. The financial performance of both companies is also considered, the goals they want to derive from this merger. In the third practical part - the merger process of SIA UniCredit Leasing and JSC Citadele companies is analyzed, the process issues are analyzed, an interview with the manager of JSC Citadele and an interview with an employee of SIA UniCredit Leasing about how the process was organized before and after merger.
