Maģistra darbs “Vārda akciju reģistrācijas un uzskaites regulējums Latvijā” sniedz ieskatu pašreizējā normatīvo tiesību aktu regulējumā par vārda akciju reģistrāciju un uzskati, tostarp minimāli aplūkojot arī uzrādītāja akciju normatīvo regulējumu un norāda uz konkrētu tiesiskā regulējuma problemātiku. Maģistra darba mērķis ir veikt pētījumu un analizēt esošo tiesisko regulējumu un tā interpretācijas, tiesu prakses atziņas saistībā ar vārda akciju reģistrāciju un uzskaiti, pievēršot uzmanību vārda akciju īpašumtiesību iegūšanas brīdim, pirmpirkuma tiesību un labticīgā ieguvēja statusa atzīšanu un šī institūta ietekmi uz vārda akciju civiltiesisko apgrozību kopsakarā ar plānoto grozījumu Komerclikumā vērtējumu. Maģistra darba pētījuma rezultātā autore sniedz priekšlikumus likumprojekta “Grozījumi Komerclikumā” taisnīgākai materiālo tiesību normu piemērošanai un likumprojekta uzlabošanai. The master's thesis “Framework for registration and recording of registered shares in Latvia” provides an insight into the current regulatory framework for the registration and recording of registered shares, including the regulatory framework on the bearer shares, which highlights specific legal issues. The aim of the master's thesis is to carry out a study and analyse the existing legal framework and the interpretation thereof, the findings of the case law relating to the registration and recording of the registered shares, focusing on the timing of the acquisition of registered shares, the recognition of pre-emption rights and the status of good faith acquirer, and the impact of this institute on the civil circulation of registered shares in conjunction with the assessment of the planned amendments to the Commercial Law. As a result of the research of the master's thesis, the author provides proposals for a more equitable application of substantive law rules and improvement of the draft law “Amendments to the Commercial Law”.
