Privāta sektora kapitālsabiedrību dalībniekiem likums nenosaka nekādus ierobežojumus vai prasības attiecībā uz kapitālsabiedrību valdes locekļu atlasi un izvēli. Attiecīgi, jebkura pilngadīga rīcībspējīga fiziska persona, kurai nav noteikti ierobežojumi, var ieņemt valdes locekļa amatu. Tomēr šāda amata ieņemšana rada subjektam veselu klāstu ar atbildību un pienākumiem, kas tiek vērsti ne tikai uz sabiedrības iekšējo vidi, bet arī uz tās mijiedarbību ar partneriem, valsts institūcijām u.c. Maģistra darba mērķis ir rast iespējamu risinājumu, kurš var ierobežot fiktīvas valdes iecelšanas gadījumus un maiņu nolūka izvairīties no atbildības. Lai izstrādātu iespējamo problemātikas novēršanas piedāvājumu, tiek analizēti normatīvie akti, tiesu prakse un citi avoti. Regulatory acts, court practice and other sources are analyzed to develop a possible solution to the problem.
