The law does not set any restrictions or requirements regarding the selection and selection of board members of capital companies for members of private sector capital companies. Accordingly, any adult person capable of action, which has no restrictions set by law, can hold the position of a member of the board. However, holding such a position creates for the subject a whole range of responsibilities and duties, which are directed not only to the internal environment of the company, but also to its interaction with partners, state institutions, etc. The aim of the Master's thesis is to find a possible solution that can limit the cases of fictitious board appointments and changes with the intention of avoiding responsibility. Regulatory acts, court practice and other sources are analyzed to develop a possible solution to the problem.
