Kapitālsabiedrības valdes locekļa nodarbinātības juridiskie aspekti

Valdes loceklim kā kapitālsabiedrības amatpersonai Latvijas tiesībās noteikti dažādi pienākumi un augsts atbildības standarts neatkarīgi no pārstāvētā uzņēmuma lieluma vai īpašnieku struktūras. Maģistra darba mērķis ir izvērtēt valdes locekļu nodarbinātības tiesiskā regulējuma piemērošanas praksi publiskās un privātās kapitālsabiedrībās Latvijā, veicot normatīvo aktu un judikatūras analīzi, kā arī izmantojot 2024. gada oktobrī aptaujā iegūtos datus par valdes locekļu nodarbinātību privātās kapitālsabiedrībās. Darbā pētīti tādi jautājumi kā kapitālsabiedrību pārvaldība, valdes locekļa tiesiskais statuss, līgumiskās attiecības, amata atlīdzība, nodokļu regulējums, sociālās garantijas, risku apdrošināšana, tiesības uz atpūtu un prombūtne. Konstatēto problēmu risināšanai autore piedāvā pilnveidot komerctiesību un valsts sociālās apdrošināšanas normatīvo aktu regulējumu. Board member as a legal representative of capital company has multipe duties and a high standard of responsibility in Latvian law regardless of the size of the represented company or the ownership structure. The aim of the master's thesis is to evaluate the practice of applying the legal regulation of the employment of board members in public and private capital companies in Latvia by analyzing regulatory acts and case-law, as well as using survey data collected in October 2024 about the board member’s employment in private capital companies. The study examines issues such as the governance of capital companies, legal status of board member, conclusion of contract, remuneration, tax regulation, social guarantees, risk insurance, as well as rights to rest and absence. Author proposes to improve the regulation of commercial law and state social insurance regulatory enactments to solve the identified problems.
