Mazākumdalībnieku aizsardzības mehānismi reorganizācijas gadījumā

Abstract

Bakalaura darba temats ir „Mazākumdalībnieku aizsardzības mehānismi reorganizācijas gadījumā”. Bakalaura darba mērķis ir ir izpētīt mazākumdalībnieku aizsardzības mehānismus Latvijā un ārvalstīs, piedāvājot risinājumus mazākumdalībnieku aizsardzības mehānismu darbības efektivitātes paaugstināšanai. Bakalaura darba temats ir izanalizēts un izpētīts no teorētiskās un praktiskās pusēm. Bakalaura darbs sastāv no ievada, piecām nodaļām un kopsavilkuma. Pirmajā nodaļā tiek analīzēts mazākumdalībnieku statuss un pamats to tiesību aizsardzībai. Pastāv sekojoša problēma - kapitālsabiedrībās lēmumu pieņemšanas procedūra nav demokrātiska, bet gan balstīta uz ieguldītā kapitāla apjomu: darbojas nevis princips "viens dalībnieks, viena balss", bet gan "jo lielāka dalībnieka līdzdalība pamatkapitālā, jo viņam vairāk balsu". Kapitālsabiedrību regulācijas mērķis ir to mazākumdalībnieku aizsardzība pret patvaļu no vairākuma puses. Otrajā, trešajā un ceturtajā nodaļā tiek pētīti mazākumdalībnieku aizsardzības mehānismi, kā arī tiek veikts secinājums, ka Latvijas Komerclikumā nav pietiekami labi izstrādā atbildība par informācijas nesniegšanu sabiedrību dalībniekiem. Piektajā nodaļā tiek pētītas iespējas par reorganizācijas apstrīdēšanu, tiek noteiktas tās priekšrocības un trūkumi.Kopsavilkumā ir uzskaitīti piedāvājumi, kas ir saistīti ar dažu Latvijas Republikas Komerclikuma pantu grozījumiem vai papildinājumiem Komerclikumā, kas ir saistīti ar mazākumdalībnieku mehānismu darbības efektivitātes paaugstināšanu.

The subject of the Bachelor Thesis is „The protection mechanisms in the case of reorganisation of minority participants”.The aim of the Bachelor Thesis is to research the protection mechanisms of minority participants in Latvia and abroad, offering solutions for increasing the effectiveness of the protection mechanisms of minority participants. The subject of the Bachelor Thesis is analysed and researched from the theoretical as well as from the practical side. The Bachelors Thesis consists of an introduction, five sections and the summary. In the first section the status of minority participants and basis of the protection of their rights has been analysed. The following problem exists - the procedure of decision making in capital companies isn’t democratic, but rather is based on the volume of the invested capital: there isn’t a working principal of "one participant, one vote ", but rather "the bigger the co-participation of the participant in the equity capital, the more votes he has". The aim of the regulation of capital companies is the protection of their minority participants against the arbitrariness from the side of the majority. In the second, third and forth sections the mechanisms of the protection of minority participants are researched, as well as the conclusion made, that in the Commercial Law of the Republic of Latvia, the responsibility for not providing the information to the participants of companies isn’t sufficiently developed. In the fifth section, the possibilities of challenging the reorganisation are researched and their benefits and deficiencies are determined. In the summary the offers which are connected with some of the amendments or additions of articles in the Commercial Law of the Republic of Latvia, which are connected with increasing the effectiveness of the work of the mechanisms for minority participants are listed.
