Risku vadīšana apvienošanas un saplūšanas procesā, un to ietekme uz uzņēmuma darbību uz DHL Latvija piemēra

Abstract

Pētījumā “Risku vadīšana apvienošanas un saplūšanas procesā, un to ietekmē uz uzņēmuma darbību uz DHL Latvija piemērā” tiek apskatīts uzņēmuma DHL Latvija apvienošanas risku un integrācijas procesu ietekmē uz uzņēmuma darbību. Pētījuma mērķis izpētīt uzņēmuma DHL Latvija integrācijas procesus un rezultātus, novērtēt DHL finansiālo un infrastruktūras darbību, kā arī noteikt kādi uzlabojami būtu nepieciešami uzņēmuma turpmākai darbībai. Maģistra darbs satur gan apvienošanas un saplūšanas veidu teorētisko un praktisko aspektu pētīšanu, gan uzņēmumu apvienošanās procesa gaitas analīzi uzņēmumā DHL. Pirmajā nodaļā tiek apskatīti apvienošanas un saplūšanas teorētiskie aspekti, to būtība un veidi, ka arī izklāstīts to darbības mehānisms. Pētījuma otrajā nodaļā apskatīti apvienošanas un saplūšanas vadīšanas faktori un iespējamie apvienošanas un saplūšanas riski un to ietekmē uz kompāniju. Pētījuma trešajā nodaļā tiek apskatīts apvienošanas un saplūšanas tirgus apskats, kā arī to analīze un nākotnes perspektīvas. Ceturtajā nodaļā tiek apskatīti uzņēmuma DHL fakti un apvienošanās procesu gaita. Savukārt pētījuma piektajā nodaļā tiek apskatīti uzņēmumā DHL apvienošanas riski, kuri ietekmēja uzņēmuma darbību integrācijas procesa gaitā. Apskatīti finansiālie radītāji pirms uzņēmumu apvienošanas un pēc tās. Kā arī, veicot praktisko pētījumu tiek analizēti faktori, kas ietekmē darbinieku un klientu lojalitāti, risinoties uzņēmuma apvienošanās procesiem. Rezultātā darba autore izdara secinājumus par uzņēmumu apvienošanās procesu un tā ietekmi uz uzņēmuma darbību, kā arī izvirza priekšlikumus par apvienošanas risku novēršanu un uzņēmuma sadarbības uzlabošanu ar iekšējiem un ārējiem klientiem. Pētījumā autors pamatojies uz literatūras avotiem, publikācijām un uzņēmuma DHL nepublicēto informāciju, kā arī, darba autores balstījusies uz personīgo pieredzi. Darbs izpildīts uz 126 lappusēm datorsalikuma teksta, neskaitot pielikumus. Pētījums sevī ietver 10 tabulas, 33 attēlus un 3 pielikumus, kas paskaidro un ilustrē darba saturu. Maģistra darba izstrādē izmantoti 40 dažādi informācijas avoti, kas parādīti literatūras sarakstā.

In research "Management of risks at processes of mergers and acquisitions, and influence on work of the company on example of DHL Latvia" risks of mergers and acquisitions and influence of processes of integration on work of the DHL Latvia are considered. During merger the minimal attention has been given to integration of business processes and the internal communications. Formed departments were not able to communicate successfully, many departments have been reformed, but the new system of the communications between departments has not been developed. Master Thesis contains the research of theoretical and practical aspects and the analysis of integration of DHL after merger. In the first part theoretical aspects of mergers and acquisitions, their essence and kinds and as the mechanism of action are described. In the second part of research administrative factors of mergers and acquisitions, possible risks of mergers and acquisitions and their influence on work of the company are considered. In the third part of research the market of mergers and acquisitions, analysis and future perspectives are considered. In the fourth part the facts about DHL and process of mergers and of business are considered. In the fifth part risks of merge DHL which have affected on work of the company during integration are considered. Financial parameters before and after merger are considered. Carrying out practical research factors which have an influence on work of the company is analyzed, including loyalty of employees and customers. As a result the author does conclusions about processes of merger and influence on work of the company and offers ideas how to improve relationships with internal and external customers. The Master Thesis was based on references, publications and not published materials DHL. Also the author leans on personal experience. Work is executed on 126 Pages of the computer text, not-including appendixes. Research includes 10 tables, 33 images and 3 appendixes which explain and illustrate the content of work. In development of Master Thesis 40 various information sources are used, which are mentioned in the list of the literature.
