Sabiedrības ar ierobežotu atbildību dalībnieku tiesības uz dividenžu saņemšanu

Abstract

Maģistra darbā tiek pētīts un analizēts Komerclikumā ietvertais tiesiskais regulējums attiecībā uz sabiedrības ar ierobežotu atbildību dalībnieka tiesībām uz tīrās peļņas, jeb dividenžu saņemšanu, kā arī vērtētas Komerclikumā ietvertās normas, kas regulē dividenžu izmaksas kārtību un nosacījumus. Darba mērķis ir analizēt pašreizējo Komerclikumā ietverto regulējumu attiecībā uz dividenžu izmaksu sabiedrības ar ierobežotu atbildību dalībniekiem, aplūkot tiesu praksi dividenžu izmaksu jautājumos, kā arī nedaudz aplūkot citu valstu likumos ietverto regulējumu attiecībā uz dividenžu izmaksu, lai sniegtu ieskatu par Komerclikumā ietverto normu efektivitāti, atrastu Komerclikuma nepilnības attiecībā uz dividenžu izmaksas jautājumiem un sniegtu viedokli kā šīs nepilnības novērst. Lai sasniegtu darbā izvirzītos mērķus, ir jāanalizē pašreizējais Komerclikumā ietvertais regulējums attiecībā uz dividenžu izmaksu sabiedrības dalībniekiem, kā arī jāvērtē Komerclikumā ietverto normu efektivitāte. Maģistra darbs satur trīs nodaļas, kur pirmajā nodaļā sniegts detalizēts Komerclikuma 161. panta sniegtā regulējuma vērtējums un analīze, otrajā nodaļā pētītas un aplūkotas dividenžu aprēķināšanas un izmaksāšanas īpatnības, trešajā nodaļā vērtēts un analizēts Komerclikuma jaunākais regulējums attiecībā uz ārkārtas dividenžu izmaksu. Master thesis explores and analyzes the legal regulation in the Latvian Commercial law with regard to the limited liability company shareholder rights of the net profit, or receive dividends, as well as being valued in the Latvian Commercial law contained provisions that regulate procedure for payment of dividends and conditions. Aim of the work is to analyze the current framework in the Latvian Commercial law with regard to payment of dividends to limited liability company members, analyze the case law in dividend payment issues, as well as take a little look at other countries regulations with regard to payment of dividends, to provide insight of the effectiveness of the norms, find imperfections in the Latvian Commercial law and provide views, how to prevent those imperfections. In order to achieve the objectives of the work should be analyzed the existing framework in the Latvian Commercial law with regard to payment of dividends to the members and must be assessed the effectiveness of the provisions. Master's thesis contains three chapters where the first chapter gives a detailed assessment and analysis of Latvian Commercial law, the second chapter explores and reviews the dividend calculation and payment of special features, the third chapter examines and analyzes the new framework for an exceptional dividend of Latvian Commercial law.
