Līgums ar valdes locekli

Abstract

Bakalaura darbā tiek risināta problēma, vai valdes locekļa amats un līgums ar valdes locekli paredz ne vien SIA darbības vadīšanu un pārstāvību, bet arī tiešu darba izpildi. Normatīvie akti precīzu atbildi nedod, turklāt atšķirīgs ir tiesu prakses, tiesībzinātnieku, zvērinātu advokātu, valsts iestāžu vērtējums un tiesību normu interpretācijas. Šī pētījuma mērķis ir noskaidrot iepriekšminēto, izdarīt secinājumus un priekšlikumus vienotas pieejas rašanai. Pētījuma rezultātā secināts, ka valdes locekļa amatam nav noteiktu robežu, amata specifika paredz iesaisti darbu izpildē atbilstoši krietna un rūpīga saimnieka jēdzienam, tomēr katrā gadījumā individuāli jāizvērtē, vai šādu darbību raksturs neliecina par atsevišķa amata ieņemšanu SIA. There is a problem being solved in this bachelor thesis whether the position of a board member and a contract with a board member includes not only leading and representation of a limited liability company but also direct work execution. Laws and regulations does not give a precise answer, besides there are different opinions of case law, legal academics, attorneys, public institutions and different legal norm interpretations. The aim of this research is to clarify the questions mentioned before, make conclusions and suggestions finding a common approach. There has been found out in the results of this research that there are no strict limits to the position of a board member, the specifics of this position anticipates involvement in work execution according to decent and accurate concept of a master. Nevertheless there should be an individual assessment in every case whether the nature of the activities notice a separate position in a limited liability company.
