Projekts: SIA "Car Spa" dibināšana

Abstract

Maģistra darba „Uzņēmuma SIA „CAR SPA” dibināšana” ideja ir vieglo automašīnu remontdarbnīca un to virsbūves krāsošana. Projekta „Uzņēmuma SIA „CAR SPA” dibināšana” mērķis ir atrisināt problēmas sakarā ar vieglo automašīnu remontdarbu veikšanu, kā arī atjaunošanu, kas atradīsies Balvu novada Tilžas pagastā. Projekta saimnieciskā darbība tiks uzsākta 1.jūnijā, bet aizņemtā ārējā finansējuma piesaiste tika plānota jau 2016.gada aprīlī. Saimnieciskās darbības nosaukums būs SIA „CAR SPA”. Šis nosaukums atbilst pēc LR likumdošanas, kā arī atbilstošs piedāvāto pakalpojumu klāstam, kas norāda to, ka domāts tieši priekš automašīnām, to atjaunināšanai un remontēšanai Projekta īstenošanā ir iesaistījušies trīs pašu kapitāla īpašnieki, līdz ar to viņi ir atbildīgi par saimnieciskās darbības attīstību un finansējuma nodrošināšanu. Valdes locekļi, kuriem ir savs personīgais finansiālā izteiksmē ieguldītais pašu kapitāls, līdz ar to veidojot savu konkrēto īpatsvara lielumu uzņēmumā, katram ir savs uzdevums un lēmējtiesības, bet vadību pār jauno uzņēmumu pārņems īpašnieks ar vislielāko pamatkapitāla daļu. Kopīgais nepieciešamais finansējums, lai varētu uzsākt uzņēmuma SIA „CAR SPA” saimniecisko darbību ir 35 000 EUR apmērā. Par iepriekšminēto finansējumu tiks apmaksāta uzņēmuma reģistrēšana, uzņēmuma pamatlīdzekļu iegāde, mazsvarīgā inventāra iegāde, un arī nodrošināti materiāli priekš vieglās automašīnas virsbūves krāsošanas apstrādes, kā arī telpu noma, ārējā finansējuma piesaistīšana, uzņēmuma reklāmu bukletu izveidošana un drukāšana. Uzņēmumā SIA „CAR SPA” pamatdarbība būs balstīta uz vieglo automašīnu remontēšanu un to virsbūvju krāsošanu. Jaunajā projektā tiks piedāvāti sekojoši pakalpojumi: •auto sagatavošana tehniskai apskatei; •piekares remonts; •motoru diagnostika; •zobsiksnu maiņa; •bremžu sistēmas remonts; •sajūga remonts; •auto dzinēju remonts; •automašīnās izplūdes gāzu sistēmu remonts; •virsbūves sagatavošana uz krāsošanu; •virsbūves krāsošana; •virsbūves apstrāde pēc krāsošanas; •auto signalizācijas uzstādīšana. Darba autore, projektam no saimnieciskās darbības un juridiskā viedokļa, par atbilstošāko komercdarbības juridisko formu atzina SIA. SIA ir uzņēmējdarbība ar juridiskas personas tiesībām. Tās pamatkapitālu veido dalībnieku ieguldītais īpašums – kapitāla daļas. Daļas dod dalībniekiem tiesības piedalīties SIA pārvaldē un saņemt SIA peļņu – dividendi, bet SIA likvidācijas gadījumā – likvidācijas kvotu, kā arī realizēt citas SIA statūtos paredzētās tiesības.

The idea of the Master’s work ‘The Establishment of the Enterprise ‘CAR SPA’, Ltd.’ is a maintenance shop for passenger cars and car body painting. The aim of the project ‘The Establishment of the Enterprise ‘CAR SPA’, Ltd. ’ is to solve the problem in connection with repairing as well as renewing passenger cars, which is going to be located in Balvi region, Tilza parish. The economical activity is going to be commenced in June 1; however, attracting leveraged external funding was already planned in April, 2016. The economical activity is going to be named ‘CAR SPA’, Ltd. The name compliances with the legislation of the Republic of Latvia, as well as the range of offered services which indicate that it is meant precisely for renewing and repairing cars. Three owners with their own capital have been involved in the implementation of the project, thus they are responsible for the development of the economical activity and the provision of the finances. The members of the board of administration who possess own financial capital invested in the project, form their own concrete proportion in the enterprise, each of them has a particular task and the power of decision, but the owner with the greatest core capital is going to take the position of the leadership. 35 000 EUR is the total amount of finances which are needed to commence the economical activity of ‘CAR SPA’, Ltd. The previously mentioned amount of finances is going to be used for the registration of the enterprise, purchasing fixed assets, insignificant inventory and to providing materials for painting a car body, as well as rent, attracting external funding, the designing and printing of advertisement brochures. The main activity in the enterprise ‘CAR SPA’, Ltd is going to be based on fixing passenger cars and passenger cars body painting. The following services are going to be provided in the new project: •Car preparation for a roadworthiness inspection; •Suspension repairs; •Engine diagnosis; •Timing-belt setup •ABS and braking system repairs •Clutch repairs; •Engine repairs; •Exhaust system repairs; •Car body preparation for painting; •Car body painting; •Body treatment after painting; •Alarm system installation. The author of the work considered Ltd as the most appropriate commercial legal form according to the economical activity and the legal aspect. Ltd is an entrepreneurship with the rights of a legal person. The core capital consists of the members’ invested property- capital stock which gives permission for stockholders to participate in the management of Ltd and receive a salary- a dividend, but in case of liquidation- a liquidation quota as well as to realize the rights included in the statute of the Ltd.
