Bakalaura darba mērķis ir izvērtēt emitenta iekšējās informācijas izmantošanas aizlieguma kā privātautonomijas principa ierobežojuma pieļaujamību, piemērotību tā mērķa sasniegšanai un analizēt šāda pārkāpuma sekas. Bakalaura darba mērķa sasniegšanas nolūkā tiek veikta detalizēta juridiskās literatūras, normatīvo aktu, kā arī tiesu prakses izpēte. Darbā tiks ne vien izvērtēta iekšējās informācijas izmantošanas aizlieguma būtība, bet arī tā pārkāpuma rezultātā iestājošās civiltiesiskās sekas. Galvenokārt autors secināja, ka privātautonomijas principa ierobežošana pieļaujama tikai tad, ja tam ir “labs iemesls”, tas notiek īpašā gadījumā un tas atbilst saprātīguma standartam. Tāpat darba autors secināja, ka iekšējās informācijas izmantošanas aizliegums ir būtiska finanšu tirgus integritātes nodrošināšanas sastāvdaļa un ka tā pārkāpuma gadījumā iestājas deliktatbildība. The purpose of this thesis is to research the possibility and applicability of prohibition on insider trading as a restriction on the principle of party autonomy and to analyse the legal consequences of such violation. In order to achieve the purpose of this thesis a detailed research and analysis on legal literature, laws and the practice of application of the aforementioned prohibition will be performed. In these thesis author researches the content and essence of the prohibition on insider trading and the legal consequences of a violation of this prohibition. The author mainly concluded that it is possible to restrict the principle of party autonomy in specific occasions only if there is a „good reason” for such restriction and this restriction meets the standard of reasonability. The Author also concluded that the prohibition on insider trading is an essential part of ensuring the integrity of financial market and that in case of its violation tort liability may occur.
