Abstract

Mantiskais ieguldījuma kā pamatkapitāla apmaksas veids praksē tiek pielietots plaši. Sākot no nekustamā īpašuma, kas nepieciešams sabiedrības ar ierobežotu atbildību komercdarbībai, beidzot ar tik komplicētiem mantiskā ieguldījuma priekšmetiem kā intelektuālais īpašums. Interesants aspekts ir arī mantiskais ieguldījums reorganizācijā, kur ieguldāmās Sabiedrības manta vai tās daļa kā vienots kopums tiek novērtēta, lai apliecinātu tās pietiekamību iegūstošās sabiedrības pamatkapitāla izveidei vai palielināšanai. Darba mērķis ir apzināt mantiskā ieguldījuma priekšmetus un to ieguldīšanas atšķirības un īpatnības kopumā un dažādos procesos, kā arī izpētīt normatīvā regulējuma piemērošanu praksē. Mērķa sasniegšanai darba autore izpētīja un analizēja normatīvo regulējumu attiecībā uz mantisko ieguldījumu Latvijā, atsevišķas pozīcijas salīdzinot arī ar Vācijā izmantoto praksi un normatīvo regulējumu. Tika izpētīts mantiskā ieguldījuma institūts kā tāds gan no juridiskā, gan ekonomiskā viedokļa, kā arī analizētas mantiskā ieguldījuma nianses reorganizācijas procesā, ņemot vērā, ka tieši reorganizācijā mantiskais ieguldījuma normatīvi regulēts visšaurāk. Iegūtie rezultāti norāda uz normatīvā regulējuma piemērošanas problēmām praksē, kā arī jautājumiem, kuros normatīvo regulējumu būtu lietderīgi paplašināt. Maģistra darba nosaukums ir “Mantiskais ieguldījums kā sabiedrības ar ierobežotu atbildību pamatkapitāla apmaksas veids”, darbs sastāv no piecām nodaļām. Kopējais darba apjoms ir 60 lappuses.

Property contributions as a type of payment for share capital is applied extensively in practice. From real estate which is necessary for the commercial activities of a limited liability company to such complicated objects of property contributions as intellectual property. An interesting aspect is also property contributions in the process of reorganisation, where the property or its part of the company being invested is assessed as a single set to demonstrate its adequacy for the establishment or increase of share capital of the acquiring company. The aim of this thesis is to identiy the objects of property contributions and the differences and specificities of these investments in general and in different processes, as well as to explore the application of the regulatory framework in practice. In order to achieve this aim, the author examined and analysed the regulatory framework for property contributions in Latvia, comparing individual positions to the practices and regulatory frameworks in Germany. The institute of property contributions was examined as such from both a legal and economic point of view, as well as analysing the details of property contributions in the process or reorganisation, taking into account that it is in the reorganisation process that the norms of the property contribution are most narrowly regulated. The results revealed problems with the application of the regulatory framework in practice, as well as issues where it would be useful to extend the regulatory framework. The title of the Master’s thesis is “Property contributions as a form of payment of a limited liability company’s share capital”, the thesis consists of five chapters. The total amount of the thesis is 60 pages.
