Ar kapitālsabiedrību izpildinstitūciju locekļiem slēdzamo līgumu izvēles brīvība

Abstract

Šis bakalaura darbs ir par līgumu veidiem, kas var tikt noslēgti starp kapitālsabiedrību un tās valdes locekļiem, lai noregulētu sabiedrības pārvaldību. Visplašāk ir sastopams uzskats, ka šo attiecību regulēšanai ir piemērots darba līgums, uzņēmuma līgums un pilnvarojuma līgums. Pilnvarojuma līgums nav piemērots šādu attiecību regulēšanai, jo tas ir spējīgs noregulēt tikai pārstāvības funkciju. Uzņēmuma līgums ir tikai daļēji piemērots valdes locekļa funkciju regulēšanai, jo tas ir paredzēts konkrētu mērķu sasniegšanai, bet valdes loceklim jāveic dažādas funkcijas un viņa galvenais uzdevums ir vadīt visu kapitālsabiedrību. Vispiemērotākais līgums šādu attiecību noregulēšanai ir darba līgums.

This paper is about the contracts which are concluded between the enterprise and its board members, to regulate management of enterprise. Most common kinds of the contracts that are considered to fit these relationships are the employment contract, the enterprise contract and the contract of authorization. Contract of authorization is not suitable to regulate relationships between the enterprise and its board member, because it can regulate only function of representation. The enterprise contract is only partly applicable to the board members functions because it is directed on achieving some specific ends, whereas the board member must work in many directions and his main aim is to lead the company. The most suitable contract for these relationships is the employment contract.
